1. Acceptance of Terms

By accessing or using SwingAI (“the Service”), you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, you must immediately stop using the Service. These Terms constitute a legally binding agreement between you and Ametsegilea Solutions Inc. (“the Company”), a corporation incorporated under the laws of Canada.

2. Not Financial Advice — Important Disclaimer

• All analysis, signals, setups, and AI-generated content are for informational and educational purposes only
• You are solely and entirely responsible for your own trading and investment decisions
• Trading and investing involve substantial risk of loss, including the possible loss of all capital
• Past performance, backtests, and historical results do not guarantee future results
• Always verify all analysis independently before making any financial decision
• The Company is not liable for any financial losses, trading losses, or damages arising from use of the Service

3. Intellectual Property — Proprietary Rights

The following are proprietary and confidential trade secrets of Ametsegilea Solutions Inc.:

• Source Code & Architecture: The entire SwingAI codebase, including all server-side Worker logic, client-side JavaScript, and deployment configuration
• AI Prompt Engineering: All system prompts, user prompts, prompt templates, and AI instruction sets used to generate analysis, setups, and research reports
• Algorithms & Methodologies: The SEPA scoring engine, Smart Money Concepts (SMC) implementation, confluence scoring system, probability analysis engine, Kelly Criterion integration, and behavioral finance tracking system
• Data Architecture: The multi-source data pipeline combining FMP, TradingView, CoinGecko, and Anthropic Claude APIs
• Trade Calculation Methods: Position sizing formulas, risk/reward calculations, stop loss placement algorithms, and target derivation methods
• UI/UX Design: All visual design, layout, color systems, and user experience flows
• Content: All written content, guides, FAQs, video scripts, and educational material

You expressly agree that you will NOT:

• Copy, reproduce, modify, adapt, translate, or create derivative works from any part of the Service
• Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Service
• Use any automated tool, scraper, bot, or crawler to extract data, prompts, or analysis from the Service
• Use SwingAI’s methodologies, algorithms, or prompt engineering to build competing or similar products
• Share, sublicense, sell, or transfer your account or any analysis generated by the Service
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Use the Service to train, fine-tune, or improve any artificial intelligence or machine learning model

Violation of these intellectual property provisions may result in immediate account termination and civil legal action seeking injunctive relief and damages under applicable Canadian, EU, and international copyright law.

4. Cybersecurity & Prohibited Conduct

The following conduct is strictly prohibited and may constitute a criminal offence under the Canadian Criminal Code, the EU Computer Misuse Directive, and applicable cybercrime laws:

• Attempting to gain unauthorized access to any part of the Service, its servers, databases, or infrastructure
• Introducing malware, viruses, trojans, ransomware, or any malicious code into the Service
• Conducting denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks against the Service
• Intercepting, monitoring, or capturing any data transmitted to or from the Service
• Attempting to bypass authentication, session management, or access control mechanisms
• Exploiting or attempting to exploit any security vulnerability in the Service
• Impersonating another user, the Company, or any representative of Ametsegilea Solutions Inc.
• Using the Service for any fraudulent, deceptive, or illegal purpose
• Harvesting or collecting other users’ personal data from the Service

The Company actively monitors for security threats and reserves the right to report any suspected cybercrime to the Royal Canadian Mounted Police (RCMP), INTERPOL, and relevant law enforcement agencies in the user’s jurisdiction without prior notice.

5. Subscriptions & Payments

• Basic plan: $19 USD / C$19 CAD / £19 GBP / €19 EUR per month
• Pro plan: $49 USD / C$49 CAD / £49 GBP / €49 EUR per month
• All payments processed securely by Stripe — the Company never stores payment card details
• Subscriptions auto-renew monthly until cancelled
• Cancel anytime from your account settings — access continues until end of billing period
• No refunds for partial months or unused periods
• The Company reserves the right to modify pricing with 30 days notice to subscribers

6. Acceptable Use Policy

• One account per person — sharing credentials is prohibited
• You must be at least 18 years of age to use the Service
• You must not use the Service if you are prohibited from trading securities in your jurisdiction
• AI-generated analysis may not be redistributed, resold, or published without written permission
• Commercial use of SwingAI analysis in newsletters, paid services, or publications requires a commercial licence

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein. Account settings (account size, risk %, currency) are stored locally on your device and are not transmitted to our servers.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. MARKET DATA IS PROVIDED BY THIRD PARTIES AND MAY BE DELAYED OR INACCURATE. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AMETSEGILEA SOLUTIONS INC. SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL THE COMPANY’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts of Quebec, Canada. If you are an EU resident, mandatory consumer protection rights under EU law are not affected.

11. Changes to Terms

The Company reserves the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated date. Continued use of the Service after changes constitutes acceptance of the new Terms. Material changes will be notified by email to registered users.
